Sponsor’s Participation In The Giveaway

Play Social has partnered with Celebrity Link to bring this Giveaway. Both Play Social and Celebrity Link are equal partners in this Giveaway. The host account for the Giveaway is GLhair.uk. GLhair as a company is simply sponsoring and hosting the Giveaway and has no involvement in the Giveaway itself; their role is solely as a host brand. Celebrity Link is responsible for organizing the prizes and other related aspects of the Giveaway.

In consideration of the Participation Fee, the ORGANISER will include the Sponsor in the Giveaway according to the following terms:

The Instagram account (@Playsocialuk or Glhair.uk, or another account directed by the ORGANISER) will “follow” Sponsor’s Instagram account. As a condition of entering the Giveaway and to drive traffic to Sponsor’s Instagram account, ORGANISER shall require each entrant to “follow” Sponsor’s Instagram account.

Giveaway Launch Date: The tentative launch date of the Giveaway is scheduled on a week-to-week basis. The Giveaway Period may be altered at the ORGANISER’s discretion.

Giveaway Promotion:

Prior to and during the Giveaway Period, the ORGANISER will engage social media influencers to promote the Giveaway via their Instagram account(s).
The celebrity promoting the Giveaway may change at any time at the ORGANISER’s discretion.
The ORGANISER is not liable for who enters the Giveaway. The Sponsor is responsible for requesting the full roster of entrants.
The Sponsor must provide insights at the end of each week/campaign.

Participation Fee:

In full consideration for the Sponsor’s participation in the Giveaway, the Sponsor will pay the ORGANISER a non-refundable Participation Fee for each of the Sponsor’s Instagram Accounts, excluding VAT.

Special Payment Terms:

Payment can be made in full or monthly, depending on the package purchased.
The ORGANISER makes no predictions, promises, or guarantees of the actual results of the promotion. Case studies are based on previous campaigns and are for guidance only. Sponsors are encouraged to research the influencers to see if they align with their brand. The ORGANISER can provide audience insights to assist in this research.
Payment should be made via Bank Transfer / Wire Transfer. Additional payment options are available if needed.
The ORGANISER is not obliged to include the Sponsor in the Giveaway until the Participation Fee is fully paid and received.
By executing this Agreement, the Sponsor agrees to refrain from initiating any chargebacks. Defaulting on any payments will result in the immediate termination of all services.

Ownership and Deliverables:

“Deliverables” refers to all social media content posted by the ORGANISER and/or its affiliates, employees, sponsors, and/or associates, including influencers, in connection with the Giveaway. This includes photographs, video footage, artwork, and written work.
The ORGANISER retains all ownership rights to the Deliverables, subject to a license provided for Sponsor Materials, and has the right to use, reuse, reproduce, copyright, and exhibit them in any manner.

Limitation of Liability:

The ORGANISER is not liable for consequential, special, indirect, punitive, exemplary, or incidental damages, including lost profits and opportunity costs, arising out of this Agreement. The ORGANISER’s total liability shall not exceed the Participation Fee amount.

Governing Law:

This Agreement is governed by the laws of England and Wales and is subject to the jurisdiction of the courts of England & Wales.
Any controversies arising under this Agreement shall be submitted to the courts of England & Wales, excluding conflicts of law principles.

Miscellaneous:

This Agreement contains the complete understanding between the parties and supersedes all prior agreements. It may not be modified except by a written agreement signed by all parties.
The failure to enforce any provision shall not be construed as a waiver of that provision or the right to enforce it later.
If any provision is invalid or violates any law, the Agreement will be modified to the minimum extent required to comply with the law and will otherwise remain in full force and effect.
The Agreement is executed upon purchase, and digital copies are deemed originals.
This Agreement does not create a principal-agent or partnership relationship between the parties. Neither party can bind or obligate the other in any manner.
The Sponsor has entered this Agreement voluntarily and acknowledges the opportunity to consult with independent legal advice.

Additional Terms:

These terms are in addition to the general Instagram growth campaign sponsorship terms found at playsocial.co.uk/instagrowcampaignterms.
The date of the winner announcement can be changed based on competition entries.
